Notice for Payment of Interim Dividend for the Financial Year 2004-05

Notice is hereby given that the Board of Directors of National Fertilizers Limited have fixed Tuesday, the 1st February, 2005 as the 'RECORD DATE' for the purpose of payment of Interim Dividend for the financial year 2004-05, which may be declared by the Board at its meeting scheduled to be held on Monday, the 25th January, 2005. The shareholders whose names appear:-

(a) As Beneficial Owners at the close of working hours on 1st February, 2005, as per the list to be furnished by the Depositories in respect of the shares held in electronic form, and
(b) as members in the Register of Members of the Company, at the close of working hours on 1st February, 2005 after giving effect to all valid share transfers in physical form which would be received by the Company on or before 1st February, 2005.

Would be entitled to the Interim Dividend declared by the Board of Directors.

In case of shares held in physical form, all Transfer Deeds, communication for change of Address, Bank details, ECS details, PAN No. wherever applicable, mandates (if any), should be lodged with the Company's R & T Agent - M/s. MAS Services Pvt. Ltd., AB-4, Safdarjung Enclave, New Delhi - 110 029 (FAX - 26181081). The above details in respect of the shares held in electronic form (dematerialised form) should be sent to the respective Depository Participants of the shareholders and not to the Company, as the Company is obliged to use only the data provided by the Depositories while making payment of Dividend.

The Statutory Auditors have commented on the Accounts for 2003-2004 that the Company has not identified and disclosed Business Segment in line with AS -17. It is explained that the Company is mainly in the business of manufacture and sale of Urea and in accordance with Accounting Standard -17 on 'Segment Reporting' issued by ICAI, there is no separate reportable segment for the purpose of segment reporting. In any case the qualification has no financial impact.

NFL DECLARES DIVIDEND OF 
RS. 25.51 CRORES FOR 2003-04

New Delhi, September 30:

National Fertilizers Limited (NFL) – one of the largest producers of nitrogenous fertilizers in the country with a market share of 16.9% in Urea production, has declared dividend of Rs. 25.51 crores for the financial year 2003-2004 at its 30th Annual General Meeting held on 29th September, 2004. The Government of India holds 97.64% shares and major portion of this dividend will go to the Government.

All NFL Units recorded 100% capacity utilization during 2003-04 with aggregate Urea production of 32.50 lakh tonnes – the everbest production for any year so far. NFL has consistently been a profit making Company. The Company, for the year 2003-04, declared a net profit (before tax) of Rs. 121.96 crores after recording a sales turnover of Rs.3387.62 crores by marketing 34.58 lakh MT of fertilizers, the highest tonnage sold for any year so far. The above includes sales turnover of Rs. 105.08 crores on account of Industrial Products produced & sold during the year.

While highlighting achievements of the Company, Shri P.S. Grewal, Chairman & Managing Director of NFL informed that during first Six months of current fiscal, the overall capacity utilization for Urea production of NFL is 107%. The Company has Five Urea Plants located in the States of Punjab, Haryana & Madhya Pradesh with a total installed capacity of 32.31 lakh MT of Urea. The Nangal Unit located in Punjab also produces Calcium Ammonium Nitrate (CAN), which is the oldest plant of NFL. The Company also produces & markets several Industrial Products, for which, the demand on year-to-year basis is on an increase.

Shri P.S. Grewal informed that the Hon’ble Prime Minister of India, on 4th September 2004, awarded National Fertilizers Limited the “MERIT CERTIFICATE for Excellence in the Achievement of MoU Target” for the year 2002-03. The Company also expects “Excellent” rating from the Government for the year 2003-04.

NFL has undertaken several productivity measures towards cost reduction and energy improvements to effectively handle the situation emerging ahead.

C&MD also highlighted the thrust given by the Company on the production and marketing of Neem-Coated Urea. The Company has decided to produce Neem-Coated Urea at all its Plants to match its growing demand in the market. Presently, Neem-Coated Urea is being produced at Panipat & Bathinda Plants of NFL.

NFL is the First Company in Fertilizer Industry in the country to have its total business covered under ISO-9001: 2000 Certification.

NOTICE is hereby given that the 30th Annual General Meeting of the Company will be held on Wednesday, the 29th September, 2004 at 3.30 P.M. at SCOPE Auditorium, SCOPE Complex, Core-VIII, 7, Institutional Area, Lodi Road, New Delhi-110003.

The notice setting out the business to be transacted at the meeting together with a copy of the Annual Report of the Company for the financial year 2003-04 is mailed to all members.

a) The Auditors' comments relating to charging of depreciation on reconditioned spares from date of acquisition instead of date of reconditioning  and  charging depreciation on stand by assemblies/ insurance and other specific spares over the residual useful life of the main plant & machinery instead of charging the depreciation over the technical useful life as per management assessment, has been addressed  in the Accounts for 2003-2004.

b) The Auditors commented that the Company has not reported Segment Results in line with AS - 17. It is explained that the Company is primarily  in the business of manufacturing and sale of Urea and accordingly there is no separate reportable segment as per Accounting Standard - 17 dealing with Segment Reporting.

3. Information on Investor Complaints for the Quarter-in Nos.: Opening balance-Nil, New- 4 , Disposals- 4, Closing Balance-Nil.

4. Previous period's figures  have been regrouped and / or re-arranged wherever necessary to make them comparable.

UNION MINISTERS (C&F) VISIT NFL CORPORATE OFFICE NOIDA

NOIDA, July 14:

Union Minister (Steel, Chemicals & Fertilizers), Shri Ram Vilas Paswan & Union Minister of State (C&F) Shri K. Rehman Khan visited Corporate Office of National Fertilizers Limited (NFL) on 14th July, 2004.

Addressing an impressive gathering at Company’s premises, the Union Minister, while appreciating outstanding performance of the Company during the preceding years, announced that NFL has been taken out of the disinvestment list. He told the media-persons that profit-making PSUs will not be divested by the present Govt. He praised good industrial relations scenario prevailing in NFL as no man-days have been lost over last 3-decades of the functioning of NFL.

Speaking on the occasion, Chairman & Managing Director of NFL Shri P.S. Grewal made presentation of the Company’s mission / performance / achievements, which were highly appreciated by the distinguished guests including media-persons.

C&MD of NFL apprised the Ministers that (NFL) – Schedule “A”, A Mini Ratna and ISO-9001: 2000 Certified Company has received “Excellent” rating under MoU System by Govt. of India, Department of Fertilizer for the year 2002-2003” for the Eighth time.

NFL has been getting “Excellent” rating due to its outstanding performance year after year. It is worthwhile to record that during the fiscal 2003-04, NFL produced record 32.56 lakh tonnes of Urea and 100% capacity utilization and all Units of the Company achieved a minimum of 100% capacity utilization. On the Sales & Marketing front also, the Company achieved record fertilizers sales to the tune of 34.51 lakh tonnes during 2003-04, which is highly commendable.

NFL is a pioneer in the development and production of Neem-coated Urea, which has revealed increased crop yields by 4 to 5%. In addition to Panipat Unit, the Bathinda Unit of the Company has also commenced production of Neem-coated Urea.

NFL is the First Company in Nation’s Fertilizer Industry to have its total business covered under ISO-9001: 2000 Certification.

NFL ACHIEVES OUTSTANDING PRODUCTION PERFORMANCE DURING 2003-04


New Delhi, April 1:

National Fertilizers Limited (NFL), Schedule “A”, Mini Ratna and ISO-9001: 2000 Certified Company has achieved an outstanding production performance during the fiscal 2003-2004. The Company produced 32.56 lakh MT of Urea during the period, which is a record performance of the Company ever so far. The Company recorded 101% capacity utilization compared to 99.4% during the previous year. All the four Units of NFL achieved a minimum of 100% capacity utilization.

The Vijaipur Unit of NFL has produced 17.50 lakh MT of Urea, which is the ever-highest achieved by the Unit so far. Similarly, the Vijaipur Unit made record dispatches of 17.76 lakh MT Urea. The Nangal Unit of the Company also made a record production of 3,00,840 MT ammonia achieving 101.3% capacity utilization. The Unit added yet another feather in its cap by setting new record in terms of production and sale of industrial products. The Unit produced 29,644 MT of Methanol, which is the ever-highest.

On the Sales & Marketing front, NFL has achieved record Fertilizers  sales to the tune of 34.51 lakh MT during 2003-2004, which is highly commendable. It is creditable that at the end of fiscal 2003-04, the Product stocks with the Company are the lowest during the last five years. This is on account of efficient sales & marketing strategies implemented by the management during the year. The sales realizations of the Company have also been encouraging. The Bio-Fertilizers produced by NFL at its Indore Plan t in Madhya Pradesh have become highly popular amongst the farmers.

NFL – pioneer in the development and production of Neem-coated Urea has strengthened its efforts to popularize it during the year, which on trial runs, has shown to increase crop yield by 4 to 5%. The Bathinda Unit has commenced production of Neem-Coated Urea in addition to existing production by Panipat Unit.

All the plants of NFL have improved upon their energy consumption levels as compared to previous years. The Company is fully geared up to meet the challenges under New Fertilizer Policy announced by the Union Government.

During the year, Bathinda Unit was honoured with “Yogyata Praman Patra” by National Safety Council of India for the year 2001 for Developing / Implementing Effective Occupational Safety & Health Management System. The Nangal Unit was honoured with National Safety Award, 2002, besides Merit Certificate (Punjab State Safety Award) for accidents free record period.

NFL received “Excellent” rating under MoU System from the Govt. of India for the year 2002-2003.This is the third consecutive year of obtaining “Excellent” rating. The Company, on 29th March 2004, signed MoU for the year 2004-05 with the Govt. of India, under which NFL envisages to achieve 100% capacity utilization, improve productivity, implement international safety standards, besides undertaking orientation programmes aimed for consumers satisfaction etc.

PREQUALIFICATION NOTICE 

NFL, Naya Nangal is in the process of pre-qualifying the parties of repute for Manufacture, supply and Replacement of Import Steam Superheater Assembly and Economiser Coil Assembly of Boilers.

Eligibility Criteria

1.  Parties must have experience in manufacture and erection  of such equipments.

2.  Minimum annual financial turnover of around Rs. Two Crores in the last three
     years.

3.   Minimum one order of value more than Rs. One Crore must have been executed in

National Fertilizers declares a dividend of Rs 300 crore.

New Delhi, September 30:

New Delhi : National Fertilizers Ltd.  (NFL), a leading producer of nitrogenous fertilizers, with a marketshare of 17 per cent in domestic production, declared a record dividend of Rs 300 crore in its annual general meeting (AGM) held of September 26, an NFL Press release said.

This is more than 60 per cent of its paid up capital for the financial year 2002-03. Since the Government of India holds 97.64 per cent shares, the major portion of the dividend will go to the government.

NFL has consistently been a profit-making company. During 2002-03, NFL achieved the highest ever sales of Rs 3,652 crore- an increase of 24 per cent over the preceding financial year. The aggregate production was 32.66 lakh tonnes of fertilizers. The annual pre-tax profit was the highest ever at Rs 449 crore.

Chairman and managing director P S Greeal, while highlighting the achievements at the AGM, informed that during the current fiscal, the company has achieved over 100 per cent installed capacity utilisation. NFL has an annual installed capacity to produce 32. 18 lakh tonnes of calcium ammonium nitrate.

The company has already undertaken urgent steps required to improve productivity. He further asserted that with the company's ongoing cost reduction exercise on various components and energy improvement initiatives, it will be possible for the company to handle the situation emerging due to new group pricing fertilizer policy.

The Union ministry of labour has conferred National Safety Award to the Nangal unit for achieving the longest accident-free period of 1,003 days for the year 2002. The Bathinda unit has been declared runner-up in the Vishwakarma Rashtriya Puraskar and national safety awards distribution function held on September 17.

After prolonged research and development efforts undertaken in close collaboration with scientists of the Indian Agricultural Research Institute, NFL has developed neem-coated urea at its Panipat unit. Intensive and extensive field demonstrations covering different states, in coordinations covering different states, in coordination with agriculture universities and Krishi Vigyan Kendras, under actual conditions have established the efficacy of neem- coated urea. The results obtained from these demonstrations have been encouraging. The response of the farmers about the use of neem-coated urea has been positive.

The Nangal Unit of National Fertilizers Limited (NFL) has been conferred National   Safety Award (Winner) for the year 2002 and Bathinda Unit has been declared ‘Runner Up’.

Shri P.S. Grewal, Chairman & Managing Director of the Company received this award presented by Hon’ble Union Minister of Labour, Govt. of India in Vishwakarma Rashtriya Puraskar & National Safety Awards Distribution Function held at Vigyan Bhawan, New Delhi on 17th September, 2003.

This award has been conferred to Nangal Unit of the Company on account of achieving Longest Accident-free Period of 1,003 days. The Company has implemented sophisticated measures at the plants towards ensuring plant & personnel safety. It is creditable that NFL Nangal Unit has so far bagged a large number of Safety Awards from institutions of repute at international, national and State Govt. levels.

New Delhi, September  2 :

New Delhi: National Fertilizers Ltd (NFL), has achieved hundred percent of its installed capacity during the initial five months of the current fiscal. The company has annual installed capacity to produce 32.31 lakh tonnes of urea and 3.18 lakh tonnes of calcium ammonium nitrate.

During the financial year 2002-2003, NFL achieved best-ever sales turnover of Rs.3,652 crore, an increase of 24 per cent in comparison to previous financial year with an aggregate production of 32.66 lakh tonnes of fertilizers, capacity utilization of 99.4 per  cent and highest-ever annual per-tax profit if Rs.449 crore.

The leading producer of nitrogenous fertilizers has declared a record dividend of Rs.300 crore, which is more than 60 per cent of its paid up capital.

NFL's performance was appreciated by Union minister of chemicals and fertilizers,
Shri. S.S Dhindsa, at its thirtieth Foundation Day function organized at Siri Fort in New Delhi recently. He highlighted the catalytic role played by the company in ushering green revolution.

Shri R. Jayamani has joined National Fertilizers Limited  (NFL) – a leading producer of nitrogenous fertilizers in the country, as its Director (Technical) on Ist August, 2003. Till recently, Shri Jayamani was posted as Executive Director, Rashtriya Chemicals & Fertilizers (RCF), Trombay Unit.

BE (Hons.) in Mechanical Engg., Shri Jayamani started his career in Fertilizer Corporation of India (FCI) at Sindri in the year 1969. During his career spanning over three decades, he has acquired extensive professional expertise in plants operations, maintenance, commercial management and general management at RCF. He has contributed remarkably in production cost reduction of RCF’s products & by-products.
